StockWave

Reseller agreement

Version —

Draft: this agreement is being finalised and its wording may change. You'll be asked to accept any new version before you can list again.

1. What we do

StockWave ("we") supplies products that you ("the reseller") list on your own eBay shop at a price you choose. When one of those listings sells, we pack the item and post it to your buyer.

2. Prices and payment

For every sale, we charge the card saved in your account our wholesale price for that product, as shown in your dashboard at the time of the sale. The wholesale price includes packing and UK postage. You keep everything your buyer pays you on eBay. eBay's fees are yours to pay.

We only dispatch an order once its wholesale charge has gone through.

Price changes. We (or the reseller you buy from) may change the price you pay. We will tell you in your dashboard before any increase takes effect, giving at least the notice shown with the change (currently up to 24 hours). Orders placed on eBay before the new price takes effect are charged at the old price. You must read and acknowledge each change in your dashboard; until you do, we may set the listings concerned to show 0 available. If, after an increase, a listing would make a loss after eBay's fees, we may pause it (show 0 available) until you change your price or tell us to continue. A record of each notice and your acknowledgement (time and IP address) is kept. Decreases take effect straight away.

The profit and fee figures in your dashboard ("You make about", the profit calculator) are estimates to help you choose a price. They are not financial, tax or accounting advice. eBay's actual fees can differ (for example because of promotions, your seller level, a shop subscription or VAT). You are responsible for checking your own eBay fees and choosing your prices.

3. Stock

We keep your listings' quantities in step with our stock automatically, but we can't guarantee availability. If an item sells after it has run out, we'll let you know, you cancel the eBay order with your buyer, and we refund any wholesale charge for it.

4. Returns

You are responsible for all costs arising from your buyers' returns, including return postage, refunds to buyers and any eBay fees. Returned items are sent to the return address on your own eBay account.

5. Your account

We approve every reseller account. We may suspend an account that breaks this agreement or eBay's rules. You can disconnect your eBay shop at any time.

6. Resellers: subscription, markups and payouts

[Draft wording for the solicitor to complete.]

If you choose to be a reseller, you pay a monthly subscription, taken from your saved card on the 1st of each month. You set a markup (an amount or a percentage) on top of what you pay us. The sellers who join with your codes pay that price, and you earn the markup on their sales, but only for sales made while your subscription is paid.

If a payment fails or you cancel, you stay a reseller until the end of the month you have paid for. You then have 7 days to pay; if you do, you keep that month's earnings. After that, your markup on your sellers' sales is kept by us until you subscribe again, and any discount months you had are lost. Your sellers' prices do not change.

We pay what you earn by bank transfer once a month, for shipped sales made in the month before last, when you are owed at least £100. Smaller amounts carry over to the next month. If you stop being a reseller, we pay what you earned while subscribed; if that is under £100, we deduct a 5% processing fee.

7. Referral rewards

[Draft wording for the solicitor to complete.]

Rewards are discounts only, never cash. When an eBay account is connected to StockWave for the first time, the account gets £1 off its next 5 orders where our price is at least £5, for 90 days. When someone joins with your code and has paid us, you get either £1 off 5 more orders (eBay shops) or one month at a percentage off your subscription (resellers). No reward is given for accounts using the same payment card or for abuse of the scheme. Rewards have no cash value and we may change the scheme for future referrals.

8. Personal data

[To be completed: buyers' names and addresses are passed to us only so we can post their orders. Data protection roles and responsibilities to be set out here.]
